These Terms of Service ("Terms") govern your access to and use of the AcademySystem website and software-as-a-service platform (the "Service"). By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.
AcademySystem provides tools for academy management, including (but not limited to) student CRM, course and class scheduling, attendance tracking, invoicing and recurring billing, payment submission review, and inventory management. We may update, modify or discontinue parts of the Service at any time.
"Customer Data" means information you or your users upload to the Service (including student/parent/teacher data). You retain ownership of Customer Data. You grant AcademySystem a limited right to host, process, transmit and display Customer Data solely to provide and improve the Service and to meet our legal obligations.

Paid plans are billed in advance on a recurring basis (monthly or annually, depending on your selection). Your plan includes an active student limit as described on our pricing page. You are responsible for maintaining your usage within plan limits. We may restrict features, require an upgrade, or apply overage rules if usage exceeds your plan.
If a free trial is offered, it will be described during signup. Unless required by law, fees are non-refundable. If you believe you were billed in error, contact support and we will review.
Support is provided via email as described on our website. We may set reasonable limits to prevent abuse and to ensure fair access for all customers.
The Service, including software, design, and trademarks, is owned by AcademySystem or its licensors. These Terms do not grant you any rights in our intellectual property except the limited right to use the Service.
Each party may receive confidential information from the other. You agree to protect our confidential information, and we agree to protect yours, using reasonable care and only use it to perform obligations under these Terms.
You may stop using the Service at any time. We may suspend or terminate access if you violate these Terms, if required by law, or to protect the security and integrity of the Service. Upon termination, you may request export of Customer Data if available, subject to legal and technical limits.
The Service is provided "as is" and "as available". We disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose and non-infringement.
AcademySystem will not be liable for indirect, incidental, special, consequential or punitive damages, or any loss of profits, revenues, data or goodwill.
You expressly acknowledge and agree that no software platform or data transmission over the internet can be guaranteed to be perfectly or 100% secure, and the parties intend for this Agreement to reflect that reality. Consequently, you agree that our SaaS software is provided on an "as-is" and "as-available" basis. We shall not be held liable, accountable, or responsible under any circumstances for any data breaches, unauthorized access, ransomware attacks, or security incidents involving your data or systems. By utilizing this service, you voluntarily and knowingly waive any right to initiate legal action, file lawsuits, or pursue claims for damages against us, our affiliates, or our personnel resulting from any cyberattack, system compromise, or data loss.
You agree to indemnify and hold harmless AcademySystem from claims, damages, losses and expenses arising from your use of the Service, your Customer Data, or your violation of these Terms.
You are responsible for the information, records, files, communications, invoices, schedules, attendance data, student data, teacher data and other content that you or your users enter, upload, send or manage through the Service. AcademySystem is not responsible or liable for claims, losses, disputes, penalties, damages or costs that arise from your content, your academy operations, your communications with students, parents, teachers or staff, or your use of the Service to manage those activities.
You agree to defend, indemnify and hold harmless AcademySystem, its owners, officers, employees, contractors, service providers and affiliates from any third-party claims, demands, actions, liabilities, damages, settlements, fines, penalties, costs and expenses, including reasonable legal fees, arising out of or related to your misuse of the Service, your breach of these Terms, your violation of any law or regulation, your infringement of any third-party rights, or any data, file or material submitted through your account.
We may update these Terms from time to time. We will post the updated version with a new effective date. If changes are material, we may provide notice via the Service or email.
These Terms are governed by the laws of the jurisdiction where AcademySystem is established, without regard to conflict of laws rules.
